Does a foreign-owned U.S. LLC pay U.S. income tax?

The answer depends on where the work is done and what kind of income the LLC earns. What never depends on it: the annual Form 5472.

Short answer

A U.S. LLC with a single foreign owner is, by default, a disregarded entity: the LLC itself pays no federal income tax, and its income is treated as the owner's. A nonresident owner pays U.S. tax only on income that is effectively connected with a U.S. trade or business (ECI), at graduated rates after deductions, and on certain U.S.-source passive income (FDAP), generally at a flat 30% unless a tax treaty lowers it. Whether or not any tax is due, the LLC must file Form 5472 with a pro forma Form 1120 for each year with reportable transactions.

Step 1: the LLC is "disregarded"

For income tax purposes, the IRS treats an LLC with one member as an entity disregarded as separate from its owner, unless it elects to be taxed as a corporation with Form 8832. That means the question is not "does the LLC pay tax?" but "does the owner owe U.S. tax on what the LLC earns?"

Step 2: what kind of income is it?

Type of incomeHow it is taxed for a nonresident
ECI: income effectively connected with a U.S. trade or businessGraduated rates, on the net after allowable deductions. Reported on Form 1040-NR (individual owner) or Form 1120-F (foreign corporation owner).
FDAP: fixed or periodic U.S.-source income, such as dividends, interest, rents or royalties not connected with a U.S. businessFlat 30% on the gross, with no deductions, or a lower treaty rate if you qualify. Usually withheld by the payer.
Income that is neither U.S.-source nor connected with a U.S. businessGenerally not subject to U.S. income tax for a nonresident.

Step 3: is there a U.S. trade or business?

Income can only be ECI if the owner is engaged in a U.S. trade or business during the year. Performing personal services in the United States generally counts, but the activity must be considerable, continuous and regular. Compensation for services performed in the United States is U.S.-source income.

In practice, two LLCs that look identical on paper can have very different results:

  • An owner who lives abroad and performs all the work from abroad, with no U.S. office, employees or agents, may have little or no ECI. This is a factual analysis, not an automatic conclusion.
  • An owner who works in the United States, has people acting for the business here or runs U.S. rental property will usually have income that must be reported in the U.S.

Step 4: Form 5472 is due anyway

A foreign-owned single-member LLC is treated as a corporation for the Form 5472 rules. It files Form 5472 attached to a pro forma Form 1120 for each year with a reportable transaction with its owner or another related party, such as money put in, money taken out or formation costs paid. The penalty for not filing is $25,000 per form, plus $25,000 for each 30 days the failure continues more than 90 days after an IRS notice. See our Form 5472 guide.

Tax treaties

The United States has income tax treaties with many countries. A treaty can lower the 30% rate on FDAP or change how business profits are taxed. Claiming certain treaty positions requires disclosing them on Form 8833. Treaty benefits depend on your country and your facts, so they need to be reviewed case by case.

What to do

  1. List where the work is done and who does it.
  2. Classify each type of income: business income, passive income, or foreign-source income.
  3. File Form 5472 with the pro forma 1120 every year it is due.
  4. If there is ECI, file Form 1040-NR (or 1120-F if the owner is a foreign corporation).
