Opening a U.S. company as a foreigner: getting an EIN without a Social Security number, and the taxes that followAbrir una empresa en EE.

You do not need to live in the United States or have a Social Security number to own a U.S. company. You do need to know how to get the EIN and which returns you will have to file every year.

Short answer

A foreign person can own 100% of a U.S. LLC or corporation. The company is formed with the state, and the EIN is requested from the IRS. Without a Social Security number or ITIN you cannot use the online application, but you can get the EIN by phone, fax or mail with Form SS-4. After that, the company has U.S. filing duties every year, even if it had little activity: for a single-member LLC, usually Form 5472 with a pro forma Form 1120.

Step 1: choose the state and the type of company

Most foreign founders choose an LLC: it is simple to maintain and protects your personal assets. If you plan to bring in investors or keep profits inside the company, a C-Corporation may fit better. Florida is a good choice if your business, property or clients are here; you can see the costs in our guide How to start an LLC in Florida.

Step 2: get the EIN without an SSN

The IRS online application requires the responsible party to have an SSN or ITIN, and it is not available if the principal place of business is outside the U.S. International applicants can use:

  • Phone: 267-941-1099 (not toll-free), Monday to Friday, 6 a.m. to 11 p.m. Eastern time.
  • Fax: Form SS-4 to 304-707-9471 from outside the United States.
  • Mail: Form SS-4 to the IRS EIN International Operation in Cincinnati, which takes several weeks.

The EIN is free. You do not need an ITIN to get it, and in most cases an LLC with no U.S. income does not need you to get an ITIN either.

Step 3: the bank account

Banks set their own rules for non-resident owners. Many ask for the formation documents, the EIN letter, the operating agreement and your passport, and some require an in-person visit. Plan this step before you need to receive payments.

What you file every year

Single-member LLC owned by a foreigner

It does not pay tax as a company, but it must file Form 5472 attached to a pro forma Form 1120 for each year with reportable transactions with its owner, which is almost every year. The penalty for not filing is $25,000 per form. We cover it step by step in our Form 5472 guide.

If the company earns U.S. business income

When the company is engaged in a trade or business in the United States, the owner reports that income on Form 1040-NR (if the LLC is disregarded) or the corporation files Form 1120-F (if it is a foreign corporation) or Form 1120 (if it is a U.S. C-Corp). Which one applies depends on the structure and the activity.

State obligations

In Florida, the LLC must also file the annual report on Sunbiz between January 1 and May 1.

Common mistakes

  • Thinking that "no income" means "no filing". The $25,000 Form 5472 penalty applies anyway.
  • Paying an online service for the EIN.
  • Using a U.S. address that you do not control for IRS mail and then missing a notice.
  • Choosing the structure without looking at how your home country taxes the income.

How we can help

We form the company, get the EIN for non-resident owners and file Form 5472 and the related returns every year. See our company formation service and our foreign investor service.

Respuesta corta
