Short answer

You form a Florida LLC by filing Articles of Organization with the Florida Division of Corporations on Sunbiz. The state fee is $125 ($100 for the filing and $25 for the registered agent designation). Then you get a free EIN from the IRS, sign an operating agreement, open a business bank account and file an annual report every year between January 1 and May 1.

Step 1: choose the name and the registered agent

The name must be distinguishable from other companies already registered in Florida and must end in "LLC", "L.L.C." or "Limited Liability Company". You can check availability on the Sunbiz search before filing.

Every LLC needs a registered agent with a physical street address in Florida, available during business hours to receive legal notices. It can be you, if you live in Florida, or a professional registered agent service.

Step 2: file the Articles of Organization

The filing is done online on Sunbiz. According to the Division of Corporations, the fees are:

  • $100 for the Articles of Organization.
  • $25 for the registered agent designation.
  • Optional: $30 for a certified copy and $5 for a certificate of status.

Keep in mind that the information you file becomes a public record. If you work from home, think about which address you want to appear.

Step 3: get the EIN

The EIN is the company's federal tax ID. You need it to open the bank account, hire employees and file tax returns. It is free: the IRS warns that you never have to pay for an EIN. If the responsible person has a Social Security number or an ITIN, you can apply online and receive it the same day. Form the LLC with the state first, then apply.

Step 4: sign an operating agreement

Florida does not ask you to file it, but you should have one. The operating agreement says who owns the company, how decisions are made, how profits are shared and what happens if a member leaves. Banks often ask for it, and it is essential when there is more than one owner.

Step 5: open a business bank account

Keep the company's money separate from your personal money from day one. It makes your bookkeeping simple, supports your deductions and helps protect the limited liability that is the reason you formed an LLC.

Step 6: decide how the LLC will be taxed

By default, a single-member LLC is taxed on the owner's personal return, and an LLC with two or more members files a partnership return. Later, when the profit is high enough, it can elect to be taxed as an S-Corp. We explain the numbers in our guide LLC or S-Corp.

After formation: the annual report

Every Florida LLC must file an annual report on Sunbiz between January 1 and May 1. The fee is $138.75. If you file after May 1, the state adds a $400 late fee, and if you do not file by the third Friday of September, the LLC is administratively dissolved.

Common mistakes

  • Paying a website for an EIN that the IRS gives for free.
  • Mixing personal and business expenses in the same account.
  • Forgetting the annual report and paying the $400 late fee.
  • Not filing the first tax return because "the company had no income". Many LLCs still have to file.
