Missed Form 5472? The $25,000 penalty and how to fix it¿No presentaste el Formulario 5472? La multa de $25,000 y cómo resolverlo

Many owners find out about this form years after opening their LLC. Here is what the IRS rules say, and what to do now.

Short answer

The IRS penalty for not filing Form 5472 on time is $25,000 per form, per year. If the IRS sends a notice and the form is still missing after 90 days, another $25,000 for each 30 days can be added. The way out is to file every missing year with a written reasonable-cause statement, and to answer any IRS letter on time.

How the penalty works

  • $25,000 for each Form 5472 not filed when due, or not filed "in the manner prescribed".
  • The same $25,000 applies for not keeping the required records.
  • A substantially incomplete form counts as not filed.
  • If the failure continues more than 90 days after an IRS notice, an extra $25,000 applies for each 30-day period, or part of one.

There is a second reason not to wait: while the information is missing, the IRS's time limit to review that tax year stays open. Federal law says the period does not close until 3 years after the IRS receives the required information.

What "reasonable cause" means

IRS regulations allow the penalty to be excused when you acted in good faith and had reasonable cause for the delay. To ask for it, you must give the IRS a written statement with all the facts, signed under penalties of perjury. The IRS decides case by case. A good statement is specific: what happened, when you learned about the requirement, and what you did to fix it.

Step by step to get current

  1. List the missing years. Look at when the LLC was formed and which years had money moving between you and the LLC.
  2. Gather the records for each year: bank statements, transfers and receipts.
  3. Prepare a separate pro forma Form 1120 and Form 5472 for each year, using the form instructions. Our guide on how to fill out Form 5472 walks through each part.
  4. Write the reasonable-cause statement and sign it under penalties of perjury.
  5. Fax or mail everything to the IRS fax number or Ogden address for foreign-owned LLCs, and keep proof of sending.
  6. Watch your mail. The IRS says penalties on late international information returns may be assessed without considering the attached statement, and you may need to answer a letter and resend your explanation. Respond before the date in the letter.
  7. File the current year on time, so the problem does not grow.

If the IRS already contacted you

Do not ignore the letter: the 90-day clock is what triggers the extra $25,000 periods. Read the date on the notice, file the missing form, and respond with your explanation. This is where representation helps: an Enrolled Agent is authorized to practice before the IRS and can speak with the IRS on your behalf, request penalty relief and handle the follow-up.

Every case is different. The number of years, whether the IRS has already written to you and the facts behind the delay all change the best approach. This guide explains the rules; it is not advice for your specific situation.

Respuesta corta
